1. Agreement to Terms

By accessing or using the Halgian platform — including the website at halgian.com, any mobile application, and any related services (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms") and our Privacy Notice.

If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Halgian Limited, a technology company ("Halgian", "we", "us").

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.

2. Platform Description

Halgian is a hyperlocal job matching platform available worldwide. Our Platform connects:

• SMEs (Small and Medium Enterprises): Local businesses seeking to hire nearby talent. SMEs post job listings, manage applications, and communicate with candidates through the Platform.
• Candidates: Job seekers who wish to find employment opportunities within their neighbourhood or nearby areas.

Halgian facilitates connections between SMEs and candidates but is not a party to any employment contract formed between them. We do not guarantee employment outcomes. All hiring decisions are made independently by SMEs.

The Platform includes features such as neighbourhood-based matching, voice-assisted job applications, AI-assisted profile creation, in-platform messaging, and subscription billing for SMEs.

3. User Accounts

3.1 Eligibility

You must be at least 18 years of age to register for a Halgian account. By creating an account, you represent and warrant that you are 18 or older. We verify age at registration and reserve the right to suspend or delete accounts found to belong to minors.

3.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. Providing false or misleading information — including false identities, fabricated qualifications, or fake business details — is a serious breach of these Terms and may result in immediate account termination.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at team@halgian.com if you suspect unauthorised access to your account. We will not be liable for any loss arising from your failure to keep your credentials secure.

3.4 One Account Per Person

Each individual or business may maintain only one active account. Creating multiple accounts to circumvent suspensions or verification requirements is prohibited and will result in all associated accounts being terminated.

4. SME Terms

4.1 Verification Requirements

All SMEs must complete business verification before posting jobs or contacting candidates. Verification requires submission of a valid Corporate Affairs Commission (CAC) registration document. We reserve the right to reject or revoke verification at any time if we have reason to believe the submitted documents are fraudulent or expired.

4.2 Job Posting Rules

Job listings posted on Halgian must:

• Accurately describe the role, location, hours, and compensation
• Relate to genuine employment opportunities (not lead generation, spam, or marketing)
• Comply with applicable employment law in your jurisdiction
• Not discriminate unlawfully on the basis of gender, religion, ethnicity, disability, or any other protected characteristic
• Not require candidates to pay any fees as a condition of application or employment

4.3 Subscription and Billing

Access to full SME features (including candidate contact and shortlisting) requires a paid subscription. Subscriptions are billed in advance on a monthly or annual basis via our payment partners. Subscription fees are non-refundable except where required by law. We reserve the right to change subscription pricing with 30 days' notice.

SMEs are responsible for all taxes applicable to their subscription payments under applicable local law.

4.4 Candidate Data Handling

Candidate profile data accessed through Halgian may only be used for the purpose of evaluating candidates for genuine employment opportunities. SMEs must not export, store externally, sell, or repurpose candidate data for any other purpose. Breach of this obligation may result in immediate account termination and legal action.

5. Candidate Terms

5.1 Accurate Profile

You agree to create and maintain an accurate profile. This includes providing truthful information about your skills, qualifications, experience, neighbourhood, and availability. Misrepresenting your background, qualifications, or identity is a serious breach of these Terms.

5.2 Age Requirement

You must be 18 years of age or older to register as a candidate. We verify age at registration. Applications from minors will be rejected and the account will be deleted.

5.3 Referee Truthfulness

Referee information you provide must be accurate and up to date. Referees must be genuine contacts who can speak to your character or work history. You must have the referee's consent before adding their details to your profile. Providing false, fabricated, or non-consenting referee details is a serious breach of these Terms and may constitute fraud.

5.4 Platform Use

The Platform is provided to help you find genuine employment. You agree to use the Platform in good faith and not to apply for jobs you have no genuine intention of taking, harass employers, or abuse the messaging system.

6. Prohibited Conduct

The following conduct is strictly prohibited on the Halgian Platform:

Violation of any of the above may result in immediate account suspension or termination, removal of content, and where appropriate, reporting to law enforcement authorities.

7. Intellectual Property

7.1 Halgian's IP

The Platform, including its software, design, algorithms, branding, trade marks, and all content created by Halgian, is owned by or licensed to Halgian Limited. You may not copy, reproduce, distribute, modify, or create derivative works of any Halgian IP without our prior written consent.

7.2 Your Content

You retain ownership of the content you submit to the Platform (your profile, job listings, and messages). By submitting content, you grant Halgian a non-exclusive, royalty-free, worldwide licence to use, display, and process that content solely for the purpose of operating and improving the Platform.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant Halgian the right to use that feedback without restriction or compensation to you.

8. Limitation of Liability

8.1 No Employment Guarantee

Halgian is a platform that facilitates connections. We do not guarantee that candidates will receive job offers, that SMEs will find suitable candidates, or that any employment relationship will be successful.

8.2 Platform Availability

We aim for high availability but cannot guarantee that the Platform will be available at all times without interruption, error, or data loss. We are not liable for any loss arising from Platform downtime or service disruptions.

8.3 Third-Party Actions

Halgian is not responsible for the conduct of other users of the Platform, including misrepresentation, fraud, or harassment by SMEs or candidates. While we take steps to verify users, we cannot guarantee the accuracy of all user-submitted information.

8.4 Limitation

To the maximum extent permitted by applicable law, Halgian's total liability to you for any claims arising from your use of the Platform shall not exceed the total subscription fees you paid to Halgian in the three months preceding the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.

9. Governing Law and Jurisdiction

9.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

9.2 EU and UK Users

Where Halgian processes personal data of users in the European Union or United Kingdom, we comply with the applicable requirements of the General Data Protection Regulation (GDPR) and UK GDPR respectively. EU and UK users retain all rights under those regulations as set out in our Privacy Notice.

The governing law clause above does not affect any mandatory consumer protection rights that EU or UK users may have under their local law.

9.3 Data Protection Compliance

Halgian processes all user data in compliance with applicable data protection law.

10. Termination

10.1 Termination by You

You may delete your account at any time from your profile page. Deletion will take effect within 30 days. You will lose access to all data, messages, and history associated with your account after deletion.

10.2 Termination by Halgian

We may suspend or terminate your account at any time, with or without notice, if:

• You breach these Terms
• We reasonably suspect fraudulent, abusive, or illegal activity
• We are required to do so by law or a court order
• Your account has been inactive for 24 months

10.3 Effect of Termination

On termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including IP, liability, and governing law) will continue to apply.

SME subscribers who are terminated by Halgian for breach of Terms are not entitled to a refund of any prepaid subscription fees.
